What to do After you Choose the Entity?

There are situations which make one entity more desirable than the others. Once you've decided, then what? How do you go about it? Once you go through the process and are recognized by the government as the entity you've chosen, do you take your business organization book (corporate or otherwise) and put it into a drawer for safekeeping? How do you keep it current to make sure that any liability protection your entity has at the outset retains that protection so that if you get sued, the plaintiff cannot reach your personal assets? Most people fail to do so.

Once the business is going, how do you run the business?

Do you reach business agreements on a handshake or a paper napkin or on a single sheet of paper? Most people don't think of the "what if" situations. That's where a lot of business agreements fail. If things go wrong, (as things sometimes do because humans are involved) there are no words to convey what happens next.

My job is to make sure that business entities start off correctly and that they know how to maintain their liability protection by keeping their entity books current. My job is to also ask the right "what if" questions to make sure that when things do not happen the way they were intended, there is language in any document, contract or agreement to cover the contingencies. I try to keep my clients out of having to court because anything can happen there and usually the only people who win are the attorneys.
